1. SPONSOR

The Promotion is sponsored by Allied Threads Co., a [State of Formation] limited liability company (“Sponsor”), in collaboration with Nocturn Industries.

This Promotion is not sponsored, endorsed, administered by, or associated with Instagram, Facebook, Meta, or any telecommunications provider.

2. PROMOTION PERIOD

The Promotion begins December 27, 2025 at 12:00 AM MST and ends February 5, 2026 at 11:59 PM MST.

3. ELIGIBILITY

• Open to legal residents of the United States only
• 18 years of age or older
• Void outside the U.S. due to ITAR export restrictions
• Employees and affiliates of Sponsor or Nocturn Industries are not eligible

4. HOW TO ENTER

A. Purchase-Based Entries

Eligible purchases made at www.alliedthreads.com during the Promotion Period earn entries as follows:

• One (1) entry per every ten dollars ($10 USD) spent, excluding tax and shipping
• If cumulative spend exceeds $200 USD, all earned entries are automatically doubled
• Entries are calculated across all qualifying purchases
• Entries are rounded down to the nearest whole number

Returned, refunded, canceled, or charged-back purchases void associated entries.

B. Alternative Method of Entry (AMOE) — No Purchase Necessary

To enter without purchase, mail a handwritten entry including:

• Full legal name
• Email address
• Phone number
• Statement requesting entry into the “Allied Threads Night Vision Giveaway”

• Must be postmarked during the Promotion Period
• Limit one (1) AMOE entry per person

5. PRIZE

One (1) winner will receive:

• Nocturn Industries Katana Night Vision Device
• White Phosphor Tubes
• Civilian-legal, ITAR-compliant configuration

Approximate Retail Value (ARV): $[XXXX].

Winner may elect to upgrade tube grade or shipping at their own expense. Prize is otherwise non-transferable and no cash substitution is available.

6. WINNER SELECTION

Winner will be selected via random drawing on or about February 6, 2026.

Odds depend on total eligible entries received.

7. WINNER NOTIFICATION & CONDITIONS

Winner will be contacted via email and/or phone.

As a condition of prize fulfillment, the winner must:

• Be subscribed to Sponsor’s email and SMS mailing lists
• Remain subscribed through prize delivery
• Execute an Affidavit of Eligibility
• Complete IRS Form W-9

Failure to comply within 72 hours may result in forfeiture.

8. TAXES

Winner is solely responsible for all federal, state, and local taxes.
Sponsor will issue a Form 1099-NEC for prizes with ARV of $600 or more.

9. PUBLICITY

Acceptance of the prize constitutes consent for Sponsor to use winner’s name, likeness, and city/state for promotional purposes, unless prohibited by law.

10. LIMITATION OF LIABILITY

Sponsor is not responsible for:

• Technical failures
• Lost or delayed entries
• Any injury or damage arising from participation or prize use

Entrants release Sponsor and Nocturn Industries from all related claims.

11. GENERAL CONDITIONS

Sponsor reserves the right to disqualify any entrant for fraud, tampering, or violation of these Terms.

Sponsor’s decisions are final and binding.

12. GOVERNING LAW

This Promotion is governed by the laws of the State of Arizona, without regard to conflict of law principles.

13. WINNER LIST

Winner information may be requested in writing within thirty (30) days of Promotion end.
